UA Checkout terms of use

This translation is provided for convenience. The Ukrainian version is legally binding.
These terms govern the use of the UA Checkout service by merchants (owners of online stores). The service is provided by sole proprietor (FOP) Ihor Hrzheliak.
1. What the service does
The service shows the store's buyers its own checkout page with Ukrainian payment and delivery methods and creates the order in the merchant's Shopify store through the API. Buyers' funds go directly to the merchant's accounts with its payment providers; the service does not accept or hold funds.
2. Risks related to Shopify's rules
Shopify's rules (API License and Terms of Use, section 2.3.18; Terms of Service, sections 1.8 and 4.5) do not allow payments and orders to be processed outside Shopify Checkout without Shopify's written permission. By connecting a store, the merchant confirms that it has read about this risk and accepts it. The merchant may disable the checkout replacement at any time, after which buyers use the standard Shopify checkout.
3. Merchant's obligations
- Provide accurate seller details, prices, and delivery and return terms, and comply with consumer protection legislation.
- Enter into agreements with payment providers, delivery services and fiscal receipt (PRRO) services on its own, and keep access keys secret.
- Not use the service to sell prohibited goods.
4. Availability and liability
We make every effort to keep the service running without interruption; in the event of a failure, buyers are automatically sent to the standard Shopify checkout. The service is provided “as is”; our liability is limited to the amount paid by the merchant for the last month of use.
5. Plans and payment
- Free trial: for 14 days from the connection of the store, everything works as in the Pro plan, free of charge. After that the store switches to the Free plan unless Pro has been purchased.
- Free plan: up to 30 orders placed through the service per calendar month (Kyiv time). After the limit, new buyers are sent to the standard Shopify checkout until the 1st of the next month. The checkout page shows the “Powered by UA Checkout” badge. Abandoned checkout reminders are available on Pro only.
- Pro plan: 790 UAH per month per store, with no order limit, no badge, Viber and SMS reminders for abandoned checkouts, and no commission on sales.
- Pro payment: by card through LiqPay; subsequent months are charged automatically. Renewal can be cancelled at any time in the dashboard; the paid month remains valid until its end.
- If a charge fails, Pro remains active for 3 more days after the end of the paid month, after which the store switches to the Free plan.
6. Partner programme
- Every user has a personal partner link in the dashboard.
- If a new account registers through this link, the partner receives 20% of every Pro payment actually received from that account for 12 months from its registration.
- Payouts are made once a month after reconciliation; the payout method and documents are agreed with the partner separately.
- Registering through one's own link and misleading merchants about the service do not entitle anyone to a reward.
